From 18 November 2025, Companies House will implement new identity verification (IDV) requirements for individuals in management or control of UK companies and LLPs. This change is part of broader government reforms aimed at improving corporate transparency and ensuring the accuracy of the Companies House register, helping to prevent the misuse of UK entities. Benazir Mir, solicitor in our Corporate and Commercial explains the changes.

Who must verify their identity

The following individuals will need to complete the identity verification process:

  • Company directors.
  • Persons with Significant control (PSCs).
  • LLP members (subject to other categories may be introduced later).

Category Verification Deadline

  • New appointments as directors, PSCs, and LLP members Must verify before being appointed to a company or LLP
  • Existing directors / LLP members Must verify before filing their next confirmation statement after 18 November 2025
  • Existing PSCs (who are not directors) Must verify within 14 days of the start of their next birth month after 18 November 2025

Once verified, individuals will receive a personal verification code from Companies House. This code can be used for all future appointments, whether as a director, PSC or LLP member.

Why Is This Important?

This identity verification is mandatory and failure to complete the verification process may result in:

  • Fines or disqualification from acting as a director, PSC or LLP member.
  • Criminal liability for non-compliant companies and their officers.
  • Inability to take up new appointments or make filings for a company or LLP.

To avoid disruption and potential penalties, individuals are advised to complete the IDV process before the 18 November 2025 deadline.

How to complete the IDV Process

Companies House offers several ways to complete the IDV:

  • Directly with Companies House at no cost.
  • In person at the Post Office.
  • Through an authorised corporate service provider (e.g. a solicitors or company accountant).

No matter the method, once the verification is complete, individuals will receive their personal verification code via their Companies House login or personal email. This code must be kept safe for future reference, as it will be required for future appointments.
