Companies incorporated in the United Kingdom are regulated principally under the Companies Act 2006. This Act consists of 1,300 sections and 16 Schedules. While it is impossible to summarise here the scope of matters covered by the Act, some key company law areas on which company directors commonly seek legal advice relate to:

  • any transaction relating to the issue of shares or transfer of shares
  • purchases of its own shares by a company
  • share class rights
  • shareholder meetings and resolutions
  • directors' duties
  • payment of dividends
  • changes to officers
  • changes to articles of association
  • preparation of board minutes
  • persons of significant control
  • filings at Companies House

In cases of doubt it is sensible to take advice because company law is not straightforward and there are important points which need to be understood and potential pitfalls in relation to all of these areas and it really can be considerably more troublesome and expensive to correct mistakes which have been made than to ensure that matters are completed correctly when they are first undertaken.

More generally, compliance involves the directors ensuring that a company complies with all of the other applicable laws and regulations relating to its business, for example, in relation to trading (in particular where the customers of the business are consumers), advertising, employees, health and safety, data protection and anti-bribery. Our employment law department advise on all of these areas.

Our corporate lawyers have considerable experience in advising on all of the above areas and many other aspects of company law.
