There are important questions to be considered when incorporating or setting up a new company. It is very important firstly to understand the advantages and disadvantages of operating through a company and perhaps also the different types of company, and the alternatives to operating through a company, which exist.

If a new company is to be formed, matters to be considered include the name of the company (so this does not fall foul of the law or infringe the rights of any other party) who are to be the shareholders and directors and what are appropriate terms to be included in the constitution of the company. There are standard constitutional documents in the form of “Model Articles” which can be used but generally, other than perhaps in the case of a new company owned and controlled by one person, it may be necessary or desirable to make some amendments to the Model Articles or to prepare new and bespoke articles of association for the Company.

If you are thinking of setting up a new company in which you will be the sole director and shareholder, it may be that a company formation agent will be able to provide a company at the least cost.  If you are contemplating setting up a new company with another person (or persons), we recommend that you take legal advice and also consider entering into a shareholders' agreement.
